PREMIUM LISTING AGREEMENT

Effective Date: The date Vendor selects and accepts a Premium Listing upgrade.

This Premium Listing Agreement (the “Agreement”) is entered into between Wedzie Inc., a corporation incorporated under the laws of the Province of Alberta, Canada (“Wedzie”, “Company”, “we”, “us”, or “our”), and the Vendor accepting this Agreement (“Vendor”, “you”, or “your”).

By selecting a Premium Listing and completing payment, the Vendor confirms that they have read, understood, and agree to be legally bound by this Agreement.

1. Nature of Premium Listing Services

Wedzie offers optional premium promotional features that provide increased visibility for a Vendor's listing within the Platform. Premium Listings may include prioritized placement within vendor subcategories and potential exposure within the “Featured Vendors” section on the homepage.

Premium Listings are designed to enhance visibility only. Wedzie does not guarantee any specific placement, ranking position, impressions, engagement, inquiries, bookings, or revenue.

Premium Listings will be displayed ahead of standard listings; however, where multiple Premium Listings exist within a subcategory, placement among those listings may vary and is not guaranteed to be in any fixed order.

Premium Listings may also be selected at random or through platform logic for display in featured sections.

All Premium Listings will be identified on the Platform using a “Sponsored” designation.

2. Eligibility and Relationship to Standard Subscription

A Premium Listing is an optional upgrade available only to Vendors with an active Standard Vendor Subscription. The Premium Listing applies to a single listing only and does not extend to multiple listings unless separately purchased.

This Agreement is supplemental to the Standard Vendor Subscription Agreement. In the event of any conflict between this Agreement and the Standard Vendor Subscription Agreement, this Agreement shall govern with respect to Premium Listing services.

3. Pricing and Payment Options

Premium Listings are offered on either a month-to-month basis or an annual contract basis at a discounted monthly rate.

Month-to-Month Option

Vendors selecting the month-to-month option will be billed monthly and may cancel at any time, with cancellation taking effect at the end of the current billing cycle.

Annual Contract Option

Vendors selecting the annual contract agree to a twelve (12) month commitment at a discounted monthly rate. Payments will be charged monthly.

The annual contract will automatically renew for successive twelve (12) month terms unless cancelled prior to the renewal date.

If a Vendor elects to cancel an annual contract prior to the end of the term, the Vendor remains financially responsible for all remaining payments due for the full contract period.

4. Discount Recovery and Non-Payment

Vendors who receive discounted pricing under an annual contract acknowledge that the discounted rate is conditional upon completion of the full contract term.

In the event of early termination, payment default, failed payments, or disputed charges, Wedzie reserves the right to:

Recover the difference between the discounted rate and the standard month-to-month rate for the duration of the contract to date;

Require immediate payment of all outstanding amounts remaining under the contract term; and/or

Pursue collection or legal action to recover unpaid amounts.

Vendors agree that failure to fulfill payment obligations constitutes a material breach of this Agreement.

5. Fees, Taxes, and Currency

All fees are charged in Canadian Dollars and are subject to applicable GST/HST based on the Vendor's location.

Vendors are responsible for all applicable taxes associated with Premium Listing services.

All payments are processed through Stripe and are subject to Stripe's terms and conditions.

6. No Refunds

All Premium Listing fees are non-refundable. No refunds, credits, or prorated amounts will be issued for unused time, early cancellation, reduced usage, or lack of performance.

7. No Guarantee of Performance

Vendor acknowledges that Premium Listings do not guarantee increased visibility, user engagement, inquiries, bookings, or revenue.

Wedzie makes no representations or warranties regarding the effectiveness or performance of Premium Listings.

8. Placement and Platform Discretion

Wedzie retains full discretion over the design, layout, placement, ranking, rotation, and display of Premium Listings.

Wedzie may modify how Premium Listings appear, including changes to algorithms, positioning logic, or display formats, at any time without liability.

Premium placement may be shared among multiple Vendors and is not exclusive unless explicitly stated.

9. Suspension or Termination

Wedzie may suspend or terminate a Vendor's Premium Listing without refund if the Vendor:

Violates any Wedzie policies or agreements;

Engages in fraudulent, misleading, or unlawful conduct;

Fails to maintain an active Standard Subscription; or

Fails to meet payment obligations.

10. Limitation of Liability

To the maximum extent permitted by law, Wedzie's total liability under this Agreement shall not exceed the total Premium Listing fees paid by the Vendor in the twelve (12) months preceding the claim.

Wedzie shall not be liable for any indirect, incidental, consequential, or loss of revenue or business opportunities.

11. Indemnification

Vendor agrees to indemnify and hold harmless Wedzie from any claims, damages, liabilities, and expenses arising from the Vendor's use of Premium Listing services, breach of this Agreement, or violation of applicable law.

12. Force Majeure

Wedzie shall not be liable for any delay or failure in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, government actions, pandemics, public health emergencies, internet outages, or third-party service failures.

13. Governing Law

This Agreement shall be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

Where applicable, consumer protection rights in certain provinces, including Quebec, may apply and cannot be waived.

14. Amendments

Wedzie reserves the right to modify this Agreement at any time. Continued use of Premium Listing services constitutes acceptance of any updated terms.

15. Entire Agreement

This Agreement, together with the Standard Vendor Subscription Agreement and Terms & Conditions, constitutes the entire agreement between the parties regarding Premium Listings.

16. Acceptance

By selecting a Premium Listing and completing payment, the Vendor confirms that they have the authority to bind their business and agree to be legally bound by this Agreement.
