TERMS & CONDITIONS (TERMS OF USE)

These Terms and Conditions (the "Terms") constitute a legally binding agreement between you ("User", "you", or "your"), being any individual or entity using the Platform, including clients ("Clients") and vendors ("Vendors"), as applicable, and Wedzie Inc., a corporation incorporated under the laws of the Province of Alberta, Canada ("Wedzie", "Company", "we", "us", or "our"), governing your access to and use of the Wedzie website and online platform (the "Platform").

By accessing, browsing, creating an account, requesting or booking services, subscribing as a Vendor, using wedding planning tools, making a payment, or otherwise using the Platform, you confirm that you have read, understood, and agree to be legally bound by these Terms.

1. Nature of the Platform

Wedzie operates an online marketplace platform that connects users with independent wedding service providers ("Vendors") for services performed within Canada. Wedzie is solely a technology platform and does not provide wedding services, act as a wedding planner, contractor, agent, or intermediary, or enter into agreements between Users.

All service agreements are formed directly between Users and Vendors. Wedzie does not negotiate, draft, supervise, enforce, or guarantee any agreement or service provided by a Vendor.

Wedzie does not endorse, verify, or guarantee the qualifications, licensing, insurance coverage, availability, pricing, or performance of any Vendor.

Wedzie establishes standardized platform rules for bookings, payments, cancellations, and refunds; however, it does not assume responsibility for the performance or delivery of Vendor services.

Wedzie does not guarantee that services will be performed, completed, or delivered as agreed, and is not responsible for Vendor performance or conduct.

2. Eligibility and Canadian Use

The Platform is intended for use in connection with services taking place in Canada. By using the Platform, you represent that you are at least the age of majority in your province or territory and have the legal capacity to enter into binding agreements.

3. Account Registration and Security

You agree to provide accurate, current, and complete information when creating an account and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

Wedzie shall not be liable for any loss or damage arising from unauthorized use of your account. Wedzie reserves the right to suspend or terminate accounts that contain false information, violate these Terms, or present risk to the Platform or its users.

4. Vendor Participation

Vendors using the Platform are subject to the Standard Vendor Subscription Agreement. In the event of any conflict between these Terms and the Standard Vendor Subscription Agreement, the subscription agreement shall prevail with respect to Vendor-related obligations.

Vendors are solely responsible for their services, pricing, representations, conduct, and compliance with all applicable Canadian laws.

5. Booking Process and Vendor Approval

Users may request services from Vendors through preset packages or custom quotes. All booking requests are subject to Vendor review and approval.

A booking is not confirmed unless and until the Vendor explicitly approves the request through the Platform. Upon approval, a binding agreement is formed directly between the User and the Vendor.

Wedzie is not a party to any service agreement and does not guarantee booking acceptance, Vendor availability, or service outcomes.

By confirming a booking, Users agree to the Platform's standardized payment, cancellation, and refund structure as set out in these Terms.

6. Payment Processing and Disbursement

All payments made through the Platform are processed by Stripe Connect, a third-party payment processor. Wedzie does not collect, receive, hold, or control any funds related to bookings or services and does not act as a bank, escrow agent, trustee, or financial intermediary.

Upon Vendor approval of a booking, a Vendor-selected portion of the total booking price will be charged immediately as a deposit. The remaining balance will be automatically charged thirty (30) days prior to the scheduled service date.

Funds from booking transactions are deposited into the Vendor's connected Stripe account upon completion of the transaction. Vendors may access their funds by requesting a payout or by setting up automatic transfers to their designated bank account through Stripe.

The timing of fund availability and payouts is determined solely by Stripe and may be subject to processing timelines, holds, disputes, or other restrictions imposed by Stripe.

Users acknowledge and agree that Wedzie is not responsible for payment processing, fund holding, payout timing, delays, chargebacks, reversals, or any actions taken by Stripe. All payment-related services are governed by Stripe's terms and conditions.

7. Cancellations, Refunds, and Disputes

All cancellations must be submitted more than thirty (30) days prior to the scheduled service date. Cancellations within thirty (30) days of the scheduled service date are not permitted through the Platform and are non-refundable in accordance with these Terms.

Where a cancellation is permitted (more than thirty (30) days prior to the service date), the Client will receive a refund of:

  • the deposit,
  • the service fee, and
  • applicable taxes on those amounts.

Stripe processing fees are non-refundable under any circumstances and are the responsibility of the Vendor.

Vendors are not permitted to cancel confirmed bookings within thirty (30) days of the scheduled service date, except where required by law or in cases of force majeure. Where a Vendor cancels more than thirty (30) days prior to the service date, the Client will receive a refund of the deposit, service fee, and applicable taxes on those amounts. The Vendor remains responsible for any non-refundable Stripe processing fees associated with the original transaction.

All refunds are processed in accordance with Stripe's processing timelines and policies, which are outside of Wedzie's control.

Wedzie does not mediate or resolve disputes related to the quality, delivery, or performance of services. Users agree to make reasonable and good faith efforts to resolve disputes directly with the Vendor. Wedzie may, at its sole discretion, facilitate communication between Users and Vendors but has no obligation to investigate, adjudicate, or resolve disputes.

Wedzie is not responsible for resolving disputes related to service non-performance, incomplete services, delays, or dissatisfaction with Vendor services.

Clients agree not to initiate chargebacks or payment disputes except where permitted under applicable consumer protection laws. Where a chargeback is initiated in violation of these Terms, the Client remains responsible for all amounts owed and any associated fees, costs, or damages.

8. Wedding Planning Tools

The Platform may include tools such as to-do lists, budget calculators, timelines, and other planning resources. These tools are provided for general informational and organizational purposes only.

Wedzie does not guarantee the accuracy, completeness, or reliability of these tools. Users are solely responsible for verifying all planning information and making independent decisions. Wedzie shall not be liable for any losses resulting from reliance on these tools.

9. Premium Listings and Promotional Features

Wedzie may offer optional paid promotional features to Vendors, including enhanced visibility, prioritized placement within search results or subcategories, and featured or sponsored listings.

Such features are not included in the Standard Subscription Plan and may require additional fees and acceptance of a separate Premium Listing Agreement.

Wedzie may identify or label paid or promoted listings as "featured," "sponsored," or similar designations to distinguish them from standard listings.

Wedzie retains full discretion over the placement, display, ranking, and rotation of listings and does not guarantee any specific performance outcomes, including visibility, impressions, engagement, inquiries, or bookings.

10. Acceptable Use

Users agree to use the Platform only for lawful purposes and in accordance with these Terms. Users must not engage in any conduct that is fraudulent, misleading, harmful, or otherwise inappropriate.

Without limiting the foregoing, Users agree that they will not:

  • Submit false, inaccurate, or misleading information, including false listings, reviews, or communications;
  • Impersonate any person or entity or misrepresent their identity or affiliation;
  • Engage in fraudulent transactions, chargeback abuse, or payment manipulation;
  • Circumvent or attempt to bypass the Platform's payment systems or conduct transactions outside of the Platform where required;
  • Post or transmit content that is unlawful, defamatory, abusive, harassing, threatening, or otherwise objectionable;
  • Upload or distribute viruses, malware, or any harmful code;
  • Interfere with or disrupt the integrity, security, or performance of the Platform;
  • Attempt to gain unauthorized access to any accounts, systems, or data;
  • Violate any applicable federal, provincial, or municipal laws in Canada.

Wedzie reserves the right, in its sole discretion, to investigate any suspected violation of this section and to take appropriate action, including suspension or termination of accounts, removal of content, cancellation of bookings, and reporting to law enforcement authorities where required.

11. User Content and Reviews

Users may submit content, including reviews and communications. Users agree that all content will be accurate, lawful, and not misleading.

Wedzie reserves the right to moderate, edit, or remove content at its sole discretion. Users grant Wedzie a non-exclusive, worldwide, royalty-free license to use submitted content for operation and promotion of the Platform.

12. Intellectual Property

All content, software, branding, and materials on the Platform are owned by Wedzie or its licensors and are protected by intellectual property laws. Unauthorized use is prohibited.

13. Third-Party Services

The Platform relies on third-party services, including Stripe Connect. Wedzie is not responsible for the performance, availability, or actions of third-party providers.

14. No Warranties

The Platform is provided on an "as is" and "as available" basis. Wedzie makes no warranties regarding availability, reliability, accuracy, or performance.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Wedzie's total aggregate liability arising out of or relating to these Terms or the use of the Platform shall not exceed one hundred Canadian dollars (CAD $100).

For greater certainty, Wedzie does not receive or retain payments made for bookings or services between Users and Vendors, and such amounts shall not be considered in any calculation of liability.

In no event shall Wedzie be liable for any amounts paid to Vendors or for any services provided by Vendors.

16. Indemnification

Users agree to indemnify, defend, and hold harmless Wedzie, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising from their use of the Platform, their interactions with other users, or their violation of these Terms or applicable law.

17. Suspension and Termination

Wedzie may suspend or terminate access to the Platform at any time for violations of these Terms or for conduct that poses risk to the Platform or its users.

18. Force Majeure

Wedzie shall not be liable for delays or failures resulting from events beyond its reasonable control, including natural disasters, government actions, pandemics, internet outages, or third-party service failures.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

Except where prohibited by applicable law, disputes shall be resolved by binding arbitration in Alberta, Canada. Where arbitration is not enforceable, disputes shall be resolved in the courts of Alberta.

20. Amendments

Wedzie may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.

21. Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Standard Vendor Subscription Agreement, and Premium Listing Agreement (if applicable), constitute the entire agreement between the parties.
